Solar Partner Terms
Effective October 20, 2026
These terms are between Mississippi River Marketing LLC ("MRM", "we", "us"), 90 Spring Lane, East Prairie, MO 63845, which runs ShingleSuite (shinglesuite.com), and a solar company that receives ShingleSuite's solar referrals ("you"). You accept them for your company when you apply at shinglesuite.com/solar-partners, and they apply to every referral we send you once we approve you. Unless we sign a separate agreement, they are the whole agreement about referrals.
How referrals work
ShingleSuite is a roof estimator that roofing companies put on their websites. When Google has solar data for a roof, the homeowner also sees a solar estimate. A roofing company that doesn't sell solar can choose to send its homeowners' solar requests to ShingleSuite's solar partners.
- The homeowner asks. After sending their roofing request, the homeowner can ask for a solar quote with one tap. The words under the button name you: "By tapping “Get a solar quote”, you agree that [your company], a solar company that works with ShingleSuite, may call or text you at [their number] and email you about solar for this home, including with automated calls and texts. Consent isn't required to buy anything. ShingleSuite may be paid for referring you. Message and data rates may apply; reply STOP to opt out of texts." Only homeowners who tap it are referred.
- One email per referral. Each referral is one email to your referral email address, with the homeowner's name, phone number, email and property address, when they asked, the words they agreed to, and a referral ID. It has no roof measurements, photos, prices, Google data or details of the roofing company.
- Your states. We approve you for states, and each state has one solar partner at a time. While you're active, homeowners who ask from a property in your states are referred to you. We may change your states, or pause your referrals, by telling you by email. While they're paused, homeowners in your states aren't offered a quote from you, and a request made before the pause waits up to 2 days: it's sent to you if your referrals resume in that time. You can ask us to pause or end them at any time.
- No promise of volume. We don't promise any number of referrals, or that any homeowner will buy. We check that a phone number and email have a valid format, not that they reach the homeowner.
- Repeat requests. A homeowner who asks again on a return visit (the same roofing company's estimator and the same address, within 30 days of their first visit) with the same phone number and email isn't referred again once their earlier referral to you has gone out.
What you agree to
- Solar only. Contact referred homeowners only about solar for that home. Don't offer or refer them roofing work, and don't contact them for anyone else.
- Contact rules. Contact homeowners only as the words they agreed to allow, at the phone number and email in the referral, and follow the laws on calls, texts and email, including consent, do-not-call, calling-hours and anti-spam rules. Honor opt-outs, such as STOP replies, right away.
- Keep the record. Keep each referral email. It is your record of what the homeowner agreed to, and when.
- Their details. Use a homeowner's details only to answer their solar request. Don't sell, rent or share them, or add them to lists for other offers, and protect them with reasonable security.
- Withdrawals. When we tell you a homeowner withdrew (an email naming the referral ID), stop contacting them about solar and delete their details, unless the law requires you to keep them.
- Your business. You hold the licenses and insurance your solar work needs. Your quotes, contracts, installations and what you tell homeowners are your responsibility. Don't present yourself as ShingleSuite or the roofing company, or say that either endorses you.
- Your details. Keep your referral email address, contact details and states current with us, and tell us at once if a referral reaches the wrong place.
Fees and payment
- Fee per referral. You pay the fee per referral we agree when we approve you (our approval email states it) for each referral email the email service accepted for delivery to your referral email address, whatever the homeowner decides. We'll email you before a change to your fee applies; it applies to referrals sent after the date in that email.
- Not charged. A referral with the same phone number and email as one we sent you in the 30 days before. And a referral whose phone number and email both don't work, if you tell us within 14 days of receiving it.
- Invoices. We email you an invoice each month for the referrals sent the month before (Central time), listing each referral ID. Payment is due within 15 days of the invoice, by the method it gives. If an invoice isn't paid on time, we may pause your referrals until it is.
- Taxes. Fees don't include taxes. You pay any that apply.
Ending
- Either of us can end these terms at any time by email. Referrals stop when they end. Fees for referrals sent before then are still due, and what you agreed about homeowners' details, withdrawals and contact keeps applying to the referrals you received.
- We may pause or end them at once if you break them, for example by contacting homeowners about anything but solar, ignoring opt-outs, or not paying.
Disclaimers and limits of liability
Referrals are provided "as is." To the extent the law allows, MRM makes no warranties, express or implied, about referrals or the homeowners' details in them.
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business. MRM's total liability for all claims about referrals is limited to the fees you paid MRM in the 12 months before the claim arose. These limits don't apply where the law doesn't allow them, such as for fraud or intentional misconduct.
You will defend and indemnify MRM against third-party claims, and the resulting losses and reasonable legal fees, arising from how you contact homeowners (including calls, texts and emails), your solar sales and work, or your breach of these terms or the law. MRM will tell you promptly about any such claim.
General
- Changes to these terms. We'll email you at least 30 days before a change applies and post the new date here. Referrals sent after that date are under the changed terms.
- Independent businesses. "Solar partner" is the program's name: we're independent businesses, and nothing in these terms makes either of us the other's partner in law, agent or employee.
- Your information. We handle your application and your contact details as the ShingleSuite Privacy Policy describes.
- General. If part of these terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver of it. You can't transfer these terms without our consent; we may transfer them as part of a sale or merger of MRM or ShingleSuite.
- Governing law. Missouri law governs these terms. Disputes go to the state courts of Mississippi County, Missouri, or the federal court for the Eastern District of Missouri.
